The descriptions of the Cerulean Alibaug project on the Website are subject to the terms of ourDisclaimer page. In the event of any inconsistency between the contents of the Website and the Agreement for Sale executed between us and a purchaser, the Agreement for Sale shall prevail.

To the maximum extent permitted by applicable law, in no event shall ShaSmit Developers, its partners, its officers, or its employees be liable to you for any indirect, incidental, special, consequential, or exemplary damages — including lost profits, lost data, loss of goodwill, or business interruption — arising out of or in connection with your use of, or inability to use, the Website, even if we have been advised of the possibility of such damages.

Our aggregate liability to you for any direct damages, whether arising in contract, tort, or otherwise, shall not exceed ten thousand Indian Rupees (₹10,000).

You agree to indemnify and hold ShaSmit Developers and its partners harmless from and against any claim, loss, liability, cost, or expense (including reasonable attorneys’ fees) arising out of your breach of these Terms of Use or your unlawful use of the Website.

The current version will always be available at this URL with the “Last updated” date at the top reflecting the date of the most recent revision. Your continued use of the Website following the publication of revised Terms constitutes your acceptance of the revised Terms.

10. Termination

We may, at our sole discretion, suspend or terminate your access to the Website without notice if we believe you have breached these Terms of Use. The provisions of Sections 4, 7, 8, 11, and 12 shall survive any termination.

11. Governing Law & Jurisdiction

These Terms of Use are governed by and shall be construed in accordance with the laws of India. Subject to Section 12, the courts at Mumbai shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or in connection with these Terms of Use or your use of the Website.

12. Dispute Resolution

Any dispute, claim, or controversy arising out of or in connection with these Terms of Use shall first be attempted to be resolved through good-faith discussion between the parties. If the dispute is not resolved within thirty (30) days, it shall be referred to arbitration by a sole arbitrator appointed in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai. The language of arbitration shall be English. Disputes relating to the Cerulean Alibaug project itself shall be referred to the appropriate forum constituted under the Real Estate (Regulation and Development) Act, 2016.

13. Severability

If any provision of these Terms of Use is held to be invalid or unenforceable, that provision shall be struck and the remaining provisions shall continue in full force and effect.
